Terms of Service

Welcome to Rekoodu Technology Private Limited (“Rekoodu”, “we”, “our”, or “us”). These Terms of Service (“Terms”) constitute a legally binding service covenant between Rekoodu Private Limited and individual founders, legal business entities, or enterprise organizations (“Client”, “you”, or “your”) contracting for venture engineering, custom technology consulting, codebase development, or software consulting services.

By executing a custom Statement of Work (SOW), executing milestones on our roadmap, or checking out the engineering blueprints delivered, you agree to comply with and be bound by the general clauses set forth in these Terms.

1. Scope of Services

Rekoodu is a dedicated venture engineering and technology consulting company. We provide advanced digital consulting solutions, product scope blueprints, custom database structures, CI/CD pathways, high-availability architecture engineering, and real-time monitoring solutions.

• Blueprints & Deliverables: All engineering objectives, specifications, target schedules, and milestones shall be formally mapped out inside a mutually-agreed Statement of Work (SOW) or project scope brief.
• Iterative Adjustments: Any requested modifications, adjustments, or expansion of scope outside of the active SOW will be billed under standard hourly iteration rates or covered by a revised milestone contract.

2. Intellectual Property

We respect creator ownership and hold strict, clean transfer policies regarding all custom-built digital assets:

Rekoodu retains complete intellectual ownership of all proprietary pre-existing software modules, core library blocks, standard developer engines, and general boilerplate infrastructures used to accelerate project builds.

3. Payment & Milestones

Our milestone billing pipelines are structured to drive execution alignment and clear expectations:

• Retainer & Kick-off: Work on any strategic blueprint or software build begins only after receipt of the initial kick-off deposit specified in the Statement of Work.
• Invoice Terms: All milestone invoices issued upon code delivery or build deployment must be cleared within **15 calendar days** of issuance. Late payments may cause automatic suspension of development.

4. Limitation of Liability

To the maximum extent permitted by applicable laws, Rekoodu Private Limited shall not be held liable for any indirect, incidental, special, consequential, or punitive damages, including loss of potential profits, service revenue, transactional data, or server outages, stemming from product deployments.

In all eventualities, our total aggregate liability for any claims arising from the consulting agreement or custom codebase deployment shall not exceed the total actual cash amount received by Rekoodu from the Client for that specific Statement of Work.

5. System Credentials

The Client is solely responsible for maintaining the absolute secrecy and security of all repository keys, server access coordinates, third-party service tokens, and environment variables transferred to Rekoodu for consulting execution. We are committed to using these credentials strictly through isolated, secure developer pathways.

6. Dispute Resolutions

These Terms, as well as any strategic Statement of Work, shall be governed, construed, and enforced in accordance with the laws of **India**, with exclusive jurisdictional authority granted to the courts located in **Tamil Nadu, India**.
